Internship Terms & Conditions

1. Agreement Overview

This Internship Agreement ("Agreement") is entered into between Untitled Needlework ("Company") and the intern ("Intern") for the internship position as outlined in the offer letter. By accepting this internship, the Intern agrees to be bound by these terms and conditions.

2. Internship Duration and Schedule

2.1 Duration

The internship period shall be as specified in the offer letter issued by the Company.

2.2 Working Hours

The Intern's working hours shall be based on work requirements and project demands as determined by the Company. Hours may vary depending on business needs, project deadlines, and operational requirements.

2.3 Extension of Internship

The Company may, at its sole discretion, extend the internship period beyond the duration specified in the offer letter if the Intern demonstrates satisfactory performance and expresses willingness to continue. Any extension shall be documented in writing with revised terms if necessary.

2.4 Reporting

The Intern must report to the designated supervisor and maintain regular attendance as per Company policies.

3. Roles and Responsibilities

3.1 Intern Responsibilities

  • Perform assigned tasks diligently and to the best of their ability.
  • Maintain professional conduct and adhere to Company policies.
  • Attend all required meetings, training sessions, and evaluations.
  • Complete assigned projects within deadlines.
  • Maintain confidentiality of all Company information.
  • Follow all safety protocols and workplace guidelines.

3.2 Company Responsibilities

  • Provide meaningful work assignments related to the Intern's field of study.
  • Assign a supervisor or mentor for guidance and support.
  • Provide necessary resources and access to complete assigned tasks.
  • Conduct periodic performance evaluations.
  • Maintain a safe and conducive work environment.

3.3 Completion of Assigned Projects

The Intern agrees that all projects, assignments, or tasks allocated during the internship must be fully completed, even if the internship duration has formally ended. Failure to complete assigned work will be considered incomplete internship performance, and the Company reserves the right to withhold the internship certificate, experience letter, or any form of completion acknowledgment until all pending work is satisfactorily finished.

4. Compensation and Benefits

4.1 Stipend

Compensation, if any, shall be as specified in the offer letter.

4.2 Benefits

The Intern may be entitled to certain benefits as specified in the offer letter. Benefits may vary depending on whether the internship is remote or onsite, and may include, but are not limited to:

For Onsite Internships: Meal allowances, transportation assistance, access to Company facilities, workspace, and equipment.

For Remote Internships: Access to digital tools, software, and necessary online resources, and any remote-work support provided by the Company.

All benefits, if any, will be clearly outlined in the offer letter and may differ based on operational requirements.

5. Intellectual Property

5.1 Ownership

All work products, ideas, inventions, designs, codes, documents, and materials created by the Intern during the internship period shall be the exclusive property of Untitled Needlework.

5.2 Assignment

The Intern hereby assigns all rights, title, and interest in any intellectual property created during the internship to the Company.

6. Confidentiality and Non‑Disclosure

6.1 Confidential Information

The Intern acknowledges that they may have access to confidential and proprietary information of the Company, including but not limited to business strategies, client information, technical data, and trade secrets.

6.2 Non‑Disclosure

The Intern agrees to maintain strict confidentiality and not disclose any confidential information to third parties during and after the internship period.

6.3 Return of Materials

Upon completion of the internship, the Intern must return all Company property, documents, and materials.

7. Professional Conduct

7.1 Code of Conduct

The Intern must adhere to the Company's code of conduct, ethics policies, and professional standards.

7.2 Representation

The Intern shall not represent themselves as an employee of the Company in any external communications without explicit authorization.

7.3 Social Media

The Intern must refrain from posting confidential Company information on social media platforms.

8. Termination

8.1 Termination by Company

The Company reserves the right to terminate this internship at any time with or without cause by providing reasonable notice to the Intern.

8.2 No Voluntary Termination by Intern

The Intern acknowledges and agrees that they cannot voluntarily terminate this internship agreement before the completion of the duration specified in the offer letter. The Intern is committed to completing the full internship period as outlined in the offer letter.

8.3 Exceptional Circumstances

In cases of medical emergencies, family crises, or other extraordinary circumstances beyond the Intern's control, the Company may, at its sole discretion, consider early termination upon written request and proper documentation.

8.4 Effect of Termination

Upon termination, all obligations regarding confidentiality, return of Company property, and intellectual property assignment shall remain in effect indefinitely.

9. Evaluation and Certification

9.1 Performance Review

The Company will conduct periodic evaluations of the Intern's performance and provide constructive feedback.

9.2 Completion Certificate

Upon successful completion of the internship, the Company may provide a certificate of completion and/or letter of recommendation based on performance.

10. Non‑Employment Relationship

10.1 Independent Status

This internship does not create an employer-employee relationship. The Intern is not entitled to employee benefits unless specifically mentioned in the offer letter.

10.2 No Future Employment Guarantee

Completion of this internship does not guarantee future employment with the Company.

11. Dispute Resolution

11.1 Governing Law

This Agreement shall be governed by the laws of India.

11.2 Resolution

Any disputes arising from this Agreement shall be resolved through mutual discussion. If unresolved, disputes may be subject to mediation or arbitration as per applicable laws.

12. Modifications

This Agreement may only be modified in writing and signed by both parties.Any changes must be documented and agreed upon by both the Company and the Intern.

13. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue to be valid and enforceable.

14. Entire Agreement

This Agreement, together with the offer letter, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the internship..

15. Work Environment and Expectations

15.1 Workplace Standards

The Intern is expected to maintain professional workplace standards, including appropriate dress code, punctuality, and respectful communication with all team members.

15.2 Learning Objectives

The Company will strive to provide learning opportunities aligned with the Intern's academic background and career goals, while the Intern must demonstrate initiative in seeking knowledge and skill development.

15.3 Technology and Equipment

The Company will provide necessary technology and equipment for the Intern to perform assigned tasks. The Intern is responsible for the proper care and return of all Company property.

16. Attendance and Leave Policies

16.1 Attendance Requirements

Regular attendance is mandatory. Any absence must be pre-approved by the immediate supervisor except in cases of emergency.

16.2 Leave Policy

The Intern may be entitled to limited leave for personal emergencies or medical reasons, subject to approval by the Company and proper documentation.

16.3 Unauthorized Absence

Repeated unauthorized absences may result in termination of the internship.

17. Performance Standards & Development

17.1 Performance Expectations

The Intern is expected to meet performance standards as communicated by the supervisor and complete all assigned projects to the Company's satisfaction.

17.2 Feedback & Improvement

Regular feedback sessions will be conducted to ensure the Intern's growth and address any performance concerns promptly.

17.3 Skill Development

The Company encourages continuous learning and may provide training opportunities. The Intern is expected to actively participate in all training sessions and skill development programs.

18. Communication & Reporting

18.1 Reporting Structure

The Intern will report directly to the designated supervisor and must maintain clear communication regarding project progress and any challenges faced.

18.2 Documentation

The Intern may be required to maintain detailed records of work performed,time spent on projects, and learning outcomes as requested by the Company.

18.3 Meetings

The Intern is expected to actively participate in team meetings, presentations, and other Company activities as deemed appropriate by management.

19. Safety & Compliance

19.1 Workplace Safety

The Intern must comply with all workplace safety regulations and report any safety concerns immediately to the supervisor.

19.2 Legal Compliance

The Intern must comply with all applicable laws, regulations, and Company policies during the internship period.

19.3 Incident Reporting

Any workplace incidents, accidents, or violations must be reported immediately to the appropriate authorities within the Company.

20. Networking & Professional Relationships

20.1 Professional Networking

The Company may facilitate networking opportunities with industry professionals, and the Intern is encouraged to build professional relationships within appropriate boundaries.

20.2 Client Interaction

Any interaction with Company clients or external stakeholders must be pre-approved by the supervisor and conducted according to Company guidelines.

20.3 Representation

When representing the Company at external events or meetings, the Intern must adhere to Company values and professional standards.

21. Data Protection & Privacy

21.1 Personal Data

The Company will collect and process the Intern's personal data in accordance with applicable privacy laws and Company privacy policies.

21.2 Data Security

The Intern must maintain the security of all Company data and systems, using strong passwords and following cybersecurity protocols.

21.3 Privacy Obligations

The Intern must respect the privacy of Company employees, clients, and stakeholders and not access unauthorized information.

22. Liability for Losses

22.1 Responsibility

The Intern shall exercise due care and diligence while performing all duties and following Company policies and instructions.

22.2 Scope of Losses

The Company may recover losses, damages, or costs directly caused by the Intern’s negligence, willful misconduct, or failure to comply with Company guidelines. Such losses may include, but are not limited to:

  • Operational losses
  • Product or material damage
  • Business or financial loss
  • Reputational harm

22.3 Assessment and Notification

Before any recovery, the Company shall provide the Intern with written notice detailing the nature, extent, and cause of the loss.

22.4 Recovery Process

The Company may recover losses through deductions from any unpaid stipend, or any other lawful means as permitted under applicable laws.

22.5 Limitation

The Intern shall not be held responsible for losses arising from factors beyond their control, including acts of God, system failures, or actions of other employees or third parties.

23. Social Responsibility & Ethics

23.1 Ethical Standards

The Intern must maintain high ethical standards and avoid any conflicts of interest that may compromise the Company's reputation or interests.

23.2 Anti-Discrimination

The Company maintains a zero-tolerance policy toward discrimination,harassment, or inappropriate behavior, and the Intern must comply with these standards.

23.3 Environmental Responsibility

The Intern is encouraged to support the Company's environmental initiatives and practice sustainable work habits.

24. Mentorship & Guidance

24.1 Mentor Assignment

The Company may assign a mentor to guide the Intern throughout the internship period, providing career advice and professional development support.

24.2 Regular Check-ins

Scheduled meetings with supervisors and mentors will ensure the Intern receives adequate support and guidance.

24.3 Goal Setting

The Intern and supervisor will establish clear, measurable goals at the beginning of the internship to track progress and achievement.

25. Final Provisions

25.1 Amendments

Any amendments to this Agreement must be made in writing and signed by both parties. Verbal modifications are not valid.

25.2 Notice Requirements

All formal notices under this Agreement must be provided in writing and delivered to the addresses specified in the offer letter.

25.3 Survival Clauses

Provisions relating to confidentiality, intellectual property, and non-disclosure shall survive the termination of this Agreement.

25.4 Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or other force majeure events.

26. Policies

26.1 Internship Code of Conduct Policy

The Intern must comply with the Company’s code of conduct, ensuring ethical behaviour, punctuality, and mutual respect in the workplace.

26.2 Data Protection & Cybersecurity Policy

The Intern is required to uphold Company data protection standards, including password security, use of authorized software, and proper handling of confidential data.

26.3 Attendance & Leave Policy

Interns must follow the approved working hours and request leave in accordance with Company guidelines. Frequent absenteeism without valid reason may lead to disciplinary action.

26.4 Disciplinary Policy

Violation of Company policies may result in warnings, suspension from duties, or termination of the internship depending on the severity of the misconduct.

26.5 Grievance Redressal Policy

The Intern may report any grievances or workplace concerns to their supervisor or HR, who will address them in accordance with Company policy.

26.6 Equal Opportunity & Anti-Discrimination Policy

The Company is an equal opportunity organization and expects the Intern to uphold inclusive, non-discriminatory behaviour during the course of the internship.
